General Terms and Conditions of Contract

2. Purpose

These general terms and conditions govern the provision of consulting, implementation, development and support services for Odoo-based ERP systems by JLM BUSINESS SOLUTIONS S.L. (hereinafter, "Nextdoo") to its clients.

3. Services

Nextdoo offers the following services:

  • Consulting and analysis of business needs
  • Implementation and configuration of Odoo ERP
  • Development of custom modules
  • Data migration from other systems
  • User training and enablement
  • Technical support and maintenance

4. Quotes and Pricing

Prices are set out in each individual quote. Quotes are valid for 30 calendar days from their issue date, unless otherwise stated. The prices indicated do not include VAT (21%) unless expressly stated.

The consulting hourly rate is €75/hour + VAT.

5. Payment Terms

Payment shall be made in accordance with the terms agreed in each quote. As a general rule:

  • 50% at the start of the project
  • 50% upon delivery and validation of the project

For larger projects, an installment payment schedule may be agreed.

6. Delivery Timeframes

Delivery timeframes are indicative and depend on the complexity of the project. Nextdoo undertakes to report any significant delay. The standard timeframes are:

  • Starter Pack (2-3 modules): 30 days
  • Business Pack (5-8 modules): 60 days
  • Enterprise Pack (all modules): 90-120 days

7. Client Obligations

The client undertakes to:

  • Provide the information necessary to carry out the project
  • Appoint a point of contact responsible for the project
  • Perform validations and testing within the agreed timeframes
  • Pay the amounts due under the agreed terms

8. Intellectual Property

Custom developments carried out by Nextdoo for the client shall become the property of the client once the agreed price has been paid in full. Standard Odoo modules are subject to the LGPL v3 license.

9. Confidentiality

Both parties undertake to maintain the confidentiality of all information exchanged during the business relationship. This obligation shall remain in force even after the termination of the contractual relationship.

10. Data Protection

Nextdoo complies with the General Data Protection Regulation (GDPR) and the Spanish Organic Law on Data Protection (LOPDGDD). The personal data provided will be processed exclusively for the management of the business relationship. For more information, please see our Cookie Policy.

11. Warranty and Support

Nextdoo offers a 3-month warranty on the developments carried out, covering the correction of errors attributable to the implementation. Subsequent support will be provided in accordance with the terms of the agreed maintenance contract.

12. Limitation of Liability

Nextdoo's liability is limited to the total amount of the contracted project. Nextdoo shall not be liable for indirect damages, loss of profit or loss of data caused by circumstances beyond its control.

13. Termination

Either party may terminate the contract by written notice with 30 days' prior notice. In the event of termination, the client shall pay for the work actually performed up to that date.

14. Governing Law

These terms and conditions are governed by Spanish law. For any dispute, the parties submit to the courts and tribunals of Tarragona.
